Terms of Service

Please read these terms carefully before using COHCASEL's platform or services.

Effective: January 1, 2025·Governing law: Federal Republic of Nigeria

Important: These Terms constitute a legally binding agreement between you and COHCASEL Limited. By accessing or using our platform or services, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, placing a service request, or otherwise accessing any part of the COHCASEL platform (the "Platform"), you ("User", "Client", or "Home Manager") agree to these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Definitions

  • "COHCASEL", "we", "us", or "our" refers to COHCASEL Limited.
  • "Platform" means the website cohcasel.com, mobile applications, and related services.
  • "Client" means an individual or family who uses the Platform to engage home management services.
  • "Home Manager" means a certified domestic professional listed on the Platform.
  • "Service" means the home management, caregiving, or related professional services facilitated through the Platform.
  • "Placement" means the confirmed engagement of a Home Manager by a Client.
  • "Content" means any information, text, images, or materials submitted to or generated by the Platform.

3. Our Services

COHCASEL provides a technology-enabled platform that connects Clients with trained, certified, and background-checked domestic professionals. Our services include:

  • Elderly care and companionship services
  • Childcare and nanny placement
  • Professional home management
  • Culinary and meal preparation services
  • Home maintenance coordination
  • Corporate and executive household management
  • Academy training programmes for domestic professionals

COHCASEL acts as an intermediary facilitating the engagement between Clients and Home Managers. We are not a party to the service relationship itself, though we establish and enforce quality, safety, and conduct standards for all parties.

4. Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter into a binding contract
  • Not be prohibited from using our services under Nigerian law or the laws of your jurisdiction
  • Provide accurate, complete, and current information during registration
  • Not have had a prior account terminated for breach of these Terms

5. Accounts & Registration

5.1 Account Creation

You must register for an account to access core Platform features. You agree to provide truthful information and to keep your account details up to date. One person may maintain only one personal account.

5.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@cohcasel.com if you suspect unauthorised access.

5.3 Account Verification

We may require identity verification at any time. Failure to provide satisfactory verification may result in suspension or termination of your account.

6. Client Obligations

As a Client, you agree to:

  • Provide an accurate description of your household, care needs, and any relevant health or safety information
  • Treat Home Managers with dignity and respect at all times
  • Provide a safe working environment free from hazards
  • Pay all fees on time as agreed
  • Not attempt to privately engage a Home Manager outside the Platform to circumvent fees, for a period of 24 months after the last facilitated placement
  • Notify COHCASEL promptly of any misconduct, safety concerns, or material changes to your service requirements
  • Not share your account with others or allow third parties to use Home Managers engaged through our Platform without prior written consent from COHCASEL

7. Home Manager Obligations

As a Home Manager on our Platform, you agree to:

  • Maintain all COHCASEL-required certifications and training as current
  • Provide services with professionalism, diligence, and care
  • Comply with all applicable laws including those relating to health, safety, and employment
  • Maintain confidentiality of Client household information
  • Not solicit employment directly from Clients outside the Platform during and for 24 months after placement
  • Report any abusive, unsafe, or inappropriate Client behaviour to COHCASEL immediately
  • Carry and present your COHCASEL ID card while on duty
  • Comply with our Code of Conduct, which is incorporated by reference into these Terms

8. Fees & Payment

8.1 Pricing

Service fees are as stated on our Pricing page or in your individual service agreement. COHCASEL reserves the right to modify fees with 30 days' notice.

8.2 Payment Processing

All payments are processed via Paystack, a PCI-DSS compliant payment processor. COHCASEL does not store raw payment card data. By making a payment, you also agree to Paystack's terms of service.

8.3 Taxes

Quoted fees are exclusive of applicable taxes (including VAT) unless stated otherwise. You are responsible for any taxes applicable in your jurisdiction.

8.4 Late Payment

Overdue payments may incur a late fee of 2% per month on the outstanding balance. We reserve the right to suspend services for non-payment after 7 days' notice.

9. Cancellation & Refunds

  • Cancellations made more than 72 hours before a placement start date: full refund of the placement fee
  • Cancellations made 24–72 hours before start date: 50% refund
  • Cancellations made less than 24 hours before start date: no refund
  • If COHCASEL cancels a placement due to circumstances within our control, a full refund will be issued within 5 business days
  • Subscription and retainer fees are non-refundable for the current billing period but will not auto-renew if cancelled before the renewal date
  • Refund disputes must be raised within 14 days of the charge

10. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are the property of COHCASEL or its licensors and are protected by Nigerian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

By submitting reviews, ratings, or other content to the Platform, you grant COHCASEL a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce such content in connection with our services.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, COHCASEL's total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the greater of: (a) the fees paid by you in the 3 months preceding the claim, or (b) NGN 500,000.

COHCASEL shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, data, goodwill, or business opportunity, even if advised of the possibility of such damages.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless COHCASEL and its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or third-party rights; or (d) any content you submit to the Platform.

13. Prohibited Conduct

You must not:

  • Use the Platform for any unlawful purpose or in violation of these Terms
  • Harass, abuse, threaten, or discriminate against any user or COHCASEL staff
  • Post false, misleading, or fraudulent information
  • Attempt to bypass, disable, or interfere with Platform security features
  • Scrape, crawl, or extract data from the Platform without written permission
  • Use the Platform to recruit Home Managers for employment outside COHCASEL
  • Impersonate any person or entity
  • Engage in any activity that disrupts or degrades Platform performance
  • Post or transmit malware, viruses, or other harmful code

14. Termination

Either party may terminate these Terms at any time by closing the account (for Users) or by providing written notice (for COHCASEL). We reserve the right to suspend or terminate your account immediately, without notice, if we reasonably believe you have breached these Terms or pose a risk to users, staff, or the Platform.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including Sections 10, 11, 12, 15, and 16) shall continue to apply.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@cohcasel.com. We will make reasonable efforts to resolve your concern within 30 days.

15.2 Arbitration

If informal resolution fails, disputes shall be submitted to binding arbitration under the rules of the Lagos Court of Arbitration (LCA). The arbitration shall be conducted in English, in Lagos, Nigeria. The arbitrator's award shall be final and binding.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, collective, or representative action.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. To the extent arbitration does not apply, you submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and NDPR Compliance Statement, constitute the entire agreement between you and COHCASEL.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any right under these Terms is not a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign ours freely.
  • Force Majeure: COHCASEL is not liable for delays or failures caused by events beyond our reasonable control.
  • Language: These Terms are provided in English. In case of conflict with any translation, the English version prevails.
